Stock-based compensation (SBC) is one of the largest expenses on many income statements and one of the least explained. Investors treat it as a real economic cost, while boards and Chief Human Resources Officers (CHROs) treat it as a central tool in attracting and retaining talent. Calibrating a Goldilocks level of usage is a prime opportunity for collaboration between finance, the board, and HR.

With the FASB’s Disaggregation of Income Statement Expenses standard (DISE) coming online, the spotlight on SBC will only intensify. For the first time, every public company will disclose how much of each functional expense line is people-linked. Investors will gain access to an entire category of new analytics.

This session covers what investors will do with that data and how finance can get ahead of it. We’ll work through the metrics active investors use, and why it’s possible to both over-grant and under-grant SBC. Finance holds the data and the investor lens that the CHRO and the compensation committee need.
